What Second Signer is

Second Signer reviews an association's financial reports and bank statements and flags items the board may want to ask about. It's an informational tool to support the board's own oversight.

What Second Signer is not

• It isn't an audit, review, compilation or any other attest service, and it isn't performed by a licensed CPA.
• It isn't legal, accounting, tax or investment advice.
• It doesn't replace the association's annual CPA review or audit, its fidelity insurance, or the board's own review of its finances.
• It doesn't guarantee that every error, irregularity or fraud will be found. An item that isn't flagged may still be wrong.

The board remains responsible for reviewing its association's finances and for its own decisions. For questions about possible wrongdoing, talk to your association's attorney or CPA.

Your documents

Our reports depend on the documents you send. If they're incomplete, out of date or altered, a report may be wrong or miss something. If we can't read a document reliably, we'll tell you rather than guess.

Your responsibilities

• Only send documents you're authorized to share on behalf of your association.
• Make sure the information you give us is accurate to the best of your knowledge.

Who the reports are for

Reports are prepared for the association's board. They aren't meant to be relied on by anyone else, such as lenders or prospective buyers.

Free first month and paid plans

New associations can try the monthly service free for their first month, without giving payment details. After that, the price and billing terms are shown to you before you're charged. You can cancel at any time, effective at the end of the current billing period.

Lookbacks

A Lookback is a one-time review of past records for the period you choose. We'll confirm the period and the price with you before any work begins. Like the monthly service, a Lookback flags items to ask about. It isn't an audit, a forensic accounting engagement or a fraud investigation.

Ending the service

You can stop using Second Signer at any time. We may stop providing the service to an association with notice, and if we do, we'll refund any amount you've prepaid for the unused period.

Limitation of liability

To the fullest extent the law allows, Second Signer is provided "as is." We aren't liable for indirect or consequential losses, including losses caused by someone else's wrongdoing that a report didn't flag. Our total liability for any claim relating to the service is limited to the amount you paid us in the three months before the claim arose.

Changes

We may update these terms. We'll post the new version here with a new effective date.
